Subject: Binding Appointment as Co-Exclusive Placement Agent (Colombia, Perú, Ecuador & Bolivia)

Dear Sirs,

In consideration of the time, effort and expenses that Pacific Andes Capital (the “Agent”) will incur in connection with the fundraising process of the Salina Cruz LNG Bunker Port project (the “Project”), the undersigned (jointly the “Sponsors”) hereby irrevocably appoint the Agent as co-exclusive financial advisor and placement agent for the offering of equity and/or equity-linked securities of the Project to investors domiciled or with decision-making center in Colombia, Peru, Ecuador and Bolivia (the “Andean Region”) in respect of:

1. the Pre-FID capital raise of approximately US$10.7 million; and
   
2. at the Sponsors’ option, any subsequent FID/construction equity tranche.

Success Fee (payable in cash at each closing)

Tranche	Success Fee on gross proceeds introduced and closed by the Agent
Pre-FID tranche	5.00 %
Any subsequent tranche(s)	3.00 %

Tail Period

24 months from termination or expiry of this appointment. Any investor introduced by the Agent in the Andean Region during the term will be deemed introduced by the Agent for fee purposes.

Governing Law & Jurisdiction

This Side Letter constitutes a legally binding agreement between the parties and shall be governed by the laws of the State of New York. The parties irrevocably submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
